GENERAL CONDITIONS
 These “General conditions”, hereinafter referred to as GC regulate the conditions of providing the services  “chauffeur driven car rental”, “transfers”, “individual trip” on behalf of  “ELITER” OOD, having the following seat and address of management: Varna, municipality of Varna, 9002, Primorski area, 10, Gen. Stoletov Str., fl. 2, apt. 3, company ID (EIK)  № 175423499,  hereinafter referred to as CONTRACTOR, and such conditions are presented to the CLIENT, together with any written confirmation for use of the service, received by e-mail or in writing.

І.    Request, confirmation, payment of the service
1. THE CLIENT expresses its willingness to use services of “Eliter” OOD by submitting a written request, where it has described the type of the needed service “chauffer driven car rental”, “transfer” or “individual trip”.THE CLIENT is obliged to specify all needed parametres of the service in its request, such as type of car, date of performance of the service, duration of the
service, number of passengers, quantity of luggage and all other details necessary for the correct definition and full pricing of the request.
2. THE CONTRACTOR is obliged, within 24 hours after receipt of the request, to answer to the CLIENT whether it can perform the request, and if that is so, to send to the CLIENT a confirmation in writing for the service. Provided the CLIENT agrees to use the service under the conditions provided in the confirmation, the CONTRACTOR shall be obliged to send to the CLIENT a contract with the specific parametres of the service, as well as the updated “General conditions”.
3.  THE CLIENT  shall be  obliged to  pay 100% /one hundred/ per cent  of the price of  the service,  within 24 hours  after receipt  of the confirmation.  The obligation of the CONTRACTOR to perform the service arises from the moment of the full payment of the service. Until that moment the requested service is not considered reserved and the CONTRACTOR has the right to confirm similar requests of other clients for the same dates and regarding the same car and
services. The partial payment is equalled to lack of performed payment and if the amount is supplemented to 100% (one hundred per cent) of the due amount, then the obligation of the CONTRACTOR to perform the service arises from the moment of receipt the final payment.
4. The parties agree that in the presence of the combination of prerequisites, namely: request from the CLIENT, written confirmation of the CONTRACTOR and document  for  performed  payment,  it  shall  be  considered  that  there  is  a  valid  concluded  contract  between  the  parties  which  binds  them  regarding  the observation of the rights and obligations specified in these General Conditions, independently if such contract has been signed or not. The performance of payment on behalf of the CLIENT shall be considered as declaration on its behalf that it unconditionally accepts these general conditions.
5. On the day of providing the service the parties sign a contract with the specific parametres of the ordered service. These GENERAL CONDITIONS shall be considered an integral part of the contract and that is why they shall be signed once again by the parties under the contract, alongside with signing the contract, and thus they will effectively become an integral part of it.

ІІ.    Prices. Mode of payment
1. Between the parties are valid the prices specified by the CONTRACTOR in the written confirmation for use of the service. All prices quoted on the website
mainteined by the CONTRACTOR www.sc-rent.com and in the brochures are only exemplary.
2. The prices are in Euro.
3. The payment is made via bank transfer, by means of bank card or in cash. Other payment means are valid, as shown on the website of the CONTRACTOR
www.sc-rent.com.
THE CLIENT is informed that with some of the payment methods it is possible additional charges to be paid (for bank operations, for conversion, etc.).

ІІІ.    Rights and obligations of the CONTRACTOR:
1. THE CONTRACTOR is obliged:
а. To provide to the CLIENT the services with the requested car, under the conditions agreed in advance between the parties and included in the contract. THE CONTRACTOR guarantees that the car is technically fit, supplied with all documents and equipment required by the law. Regarding the car there have been concluded insurances “Full Kasko”, “Civil Liability”, insurance of the seats and road tax for the territory of the Republic of Bulgaria is paid;
b. To provide capable chauffeur who will drive the car;
c. To make all efforts to provide the comfort and safety of the CLIENT during the trip;
2. THE CONTRACTOR has the right:
а. To cancel the performance of the contract, without becoming liable, in the event the CLIENT:
- has a gun,
- is under the influence of alcohol, drugs or other intoxicating substances,
- endangers or violates the integrity of the car,
- behaves in contradiction to the generally accepted norms of good behaviour or shows agression to the chauffeur, the guide or the other passengers in the car
- requires violation of the traffic rules or deviation from the preliminarily agreed parametres of the rental, inclusive of duration, itinerary, included services, etc.
- requires the transportation of suspicious or dangerous loads, as well as loads with extra weight or volume which cannot be taken in the trunk of the car or of such loads which can damage the interior or other parts of the car.
- requires transportation across the border of loads whose export or import is banned or limited according to the laws of the one or the other country.
- requires the transportation of more than the allowed and confirmed number of passengers.
- requires the transportation of animals
- forces the driver to drive with excessive speed and pull over at places where this is not allowed;
- does not use the requested service (does not appear at the arranged time)
- requires the car to be driven along roads which are not in the national road network, which are off-roads, roads without asphalt covering or have asphalt covering with bumps and holes.
-when during a transfer or individual trip refuses, during the trip to observe the agreed duration of pauses or appears with more than 20 minutes delay for continuation of the trip or requires additional pauses/ stops and in this way makes it so that the initially agreed duration and contents of the service are violated. 
- requires from the chauffer to perform services different from the ones related to the driving of the car, such as purchasing of food, drinks, telephone cards, currency exchange, etc.
In such cases the CONTRACTOR is not obliged to refund the payment made in advance and the request shall be considered cancelled through the fault of the CLIENT and it shall vacate the car immediately, as well as it shall compensate the full amount of possible damages caused to the chauffeur, the car, the passengers in the car or any third parties. In the event of effective resistence the chauffeur shall be obliged to inform the order authorities.
б.To mark the luggage with a sticker which contains declaration by the CLIENT that it is responsible for its contents. In the event that luggage of the client causes damages on the car, on other passengers, on other participants in the traffic or the chauffeur, the CONTRACTOR shall have the right to claim material and immaterial damages suffered from the occurred event.

ІV.    Rights and obligations of CLIENT
1. THE CLIENT shall be obliged:
а)not to create conditions for cancellation of the request as per art. III. Item 2 а).
b) The Client shall be obliged to pay the damages caused deliberately or involuntarily (through negligence, carelessness) to the car, people or belongings of any third parties or the contractor. The value of the damages shall be calculated on the grounds of the ascertainments described in an ad hoc protocol, signed by the chauffeur of the car and/or the CONTRACTOR and by the CLIENT. In the event that the Client refuses to sign the ascertainment protocol the Client
hereby agrees that the  Contractor has  the right  to  summon  two witnesses,  inclusive  of  employees  of  the contractor company,  who shall certify by their signatures the truthfulness of the contents of the protocol.
c. To take care of the safety of its personal belongings and valuables;
d. To give full, fair and exhaustive information regarding all parametres of the request that it wishes, before confirmation on behalf of the CONTRACTOR.
e. to pay the requested services and accrued additional fees and additional payments in relation to the use of the services of the CONTRACTOR, as well as the agreed forfeits;
2. THE CLIENT shall have the right to:
а. Receive the requested and paid service;
b. To give up the service and in such case the rules for cancellation shall come into effect, as specified hereunder.
c. To use and pay additional consumption in the car at prices shown in a price list in the car or provided via electronic means at the request of the service.

V.    Transfers
1. Transfer is renting a chauffeur driven car for transport of the CLIENT, its luggage and co-passengers, along a preliminarily set itinerary from point A to point
B, at fixed minimal duration and kilometres, at price agreed in advance between the parties.
2. The value of the fuel is included in the price of the service.
3.  The prices of transfers include waiting at the airport upon arrival up to maximum 1.5 hours after the time arranged as beginning of the transfer. In the
event of flight or CLIENT delay for more than 1.5 hours, the CLIENT shall be obliged to pay delay charge at prices from the price list of the CONTRACTOR, in case the request has not been cancelled according to the procedure and conditions in these General Conditions.
4. During the transfers it is permissible to make stops for rest at the request of the CLIENT with the following duration:
- up to 10 minutes for transfers at distance up to 100 km;
- to the total of 20 minutes for transfers at distance from 100 to 300 km;
- to the total of 30 minutes for transfers at distance 300-600 km;
- additional number of stops are paid according to duration at prices from the price list of the CONTRACTOR.
5. The maximal permissible number of passangers for transfers by one car is 3 adults + a child up to 11.99, 2 adults + 2 children, 1 adult and 3 children up to 11.99.
6. The maximal permissible luggage for transportation in one car shall not weigh more than 100 kg and shall have measurements which allow it to be loaded and placed in the trunk of the car without violation of the integrity of the trunk or the car. It is not permitted to place luggage in the coupe of the car, inclusive of bags, rucksacks, handbags (exclusive of ladies’ handbags and computer bags), children’s prams, ski, etc.
5. The contractor is obliged to prepare and to meet the CLIENT at the starting point of the transfer.
6. Deviations from the preliminarily set itinerary, at the request of the CLIENT, are allowed only with the consent of the chauffer of the car and after additional payment for duration and additional kilometres according to the price list of the CONTRACTOR.

VІ.    Chauffer driven car rental
1. Renting a chauffer driven car means to use the car for a fixed period of time for transport along itinerary which is specified by the CLIENT and is approved by the CONTRACTOR and the car is driven by employees of the CONTRACTOR. The itinerary should not include road sections and roads which are not part of the national road network, or are off-roads, roads without asphalt covering and asphalt with bumps and holes. The car can be hired with a chuffeur for a
period of 8 /eight/ hours per day for the time between 06:00 am until 10:00 pm. If it is needed to use the car for a period longer than 8 /eight/ hours per day and such period includes hours between 10:00 pm and 06:00 am the parties agree additionally and there shall be accrued additional charge according to the price list of the CONTRACTOR. 
3. THE CLIENT shall also be obliged to pay the fuel used by the car for the period of the rental, after deduction of included fuel, in the event that the rental price includes such fuel. The quantity of the used fuel is measured either by the measuring gauge of the car or on the basis of average fuel consumption of thecar for the covered kilometres.
4. THE CLIENT shall be obliged to pay additionall road taxes for abroad, if necessary, parking fee and all other arisen charges related to the use of the service for the period of the rent.
5. Starting and final point of the rental – in the contract are specified the starting and final time and the place of renting the chauffeur driven car. In certain cases, depending on the location of the cars of the CONTRACTOR   as at the moment of the requested rental and the CLIENT’S desired starting and/or final point of the service, it is possible additional fees to arise related to delivery and/or taking the car back, preliminarily specified and included in the contract.
6. The maximal permissible number of passangers in one car is 3 adults + a child up to 11.99, 2 adults + 2 children, 1 adult and 3 children up to 11.99.

VІІ.    Individual trips
1. Individual trip is renting a chauffeur driven car for transfer of the CLIENT along preliminarily set itinerary, connected with visiting certain tourist site/s and
return to the tarting point, at price agreed in advance between the parties. The itinerary of the trips, as well as details regading the visited sites are specified in the website of the CONTRACTOR www.sc-rent.com or in other brochures or advertising materials of the CONTRACTOR.
2. The trip is organised for a period of maximum 8 /eight/ hours per day.
3. Deviations from the preliminarily set itinerary are allowed only with the consent of the chauffeur and after additional payment, if necessary.
4. The maximal number of passangers for one car is 2 adults + 1 or 1 adult + 2 children up to 11.99.
5. Regarding certain excursions and cases it is possible to provide conditions which are additional to these General Conditions.
6. The trips can also include the services of a licensed individual tourist guide, which shall be expressly mentioned in the contract.

VІІІ.    Change in the conditions of the request
1.  In  case  before  the  starting  date  of  the  service  the  CLIENT  wishes  to  change  dates,  times,  duration  or  other  conditions  in  its  request,  it  shall  notify
immediately the CONTRACTOR, who, at its behalf shall confirm or refuse to confirm its capacity to change the request.
2. In case before the starting date of the service the CLIENT wishes to cancel dates on which it shall use the car, there shall be valid the rules for cancellation,
as specified hereunder.
3. THE CONTRACTOR has the right to require additional payment apart from the agreed and paid price of the service upon increase of the prices of fuel by more than 5%, which have occurred after the date of the received payment. In such case the CONTRACTOR is obliged to inform in writing the CLIENT, within
3 days after occurrence of the event which has caused the change. The CLIENT has the right to accept the change and shall confirm this in writing, or to give up the service without owing forfeits or compensation. In such case the CONTRACTOR shall refund to the CLIENT the full paid amount of the service within 7 days from the date of receipt of the notification for giving up on behalf of the CLIENT; THE CLIENT is obliged to inform the CONTRACTOR in writing regarding its decision to make a change, within 1 day after receipt of the notification;
ІХ.    Liability of the parties
1. THE CONTRACTOR shall not be liable in the event it fails to fulfil the request because of force majeure circumstances /military actions, strikes, terrorist acts, epidemics, etc./ and in such cases shall refund to the CLIENT the amount paid in advance, after deduction of the actually performed expenses, which shall be proven by duly drawn up documents.
2. THE CONTRACTOR shall not be liable before the CLIENT in the event of delayed performance or change of the deadlines and conditions of the trip, which are not within the influence of the CONTRACTOR, such as:
а. Traffic jams, road repair works, bad weather, etc.
b. Acts of God /natural disasters, strikes, etc./
c. Cancellation or interruption of the trip because of personal circumstances of the CLIENT.
d  Unpredictable risks, such as puncture, emergencies – technical failure of the car, car accidents, incidents, actions of the Road Traffic Control, etc., delay upon crossing borders, etc.
3. THE CONTRACTOR shall not be liable and shall not owe forfeits provided the reasons for that are:
а. behaviour of the CLIENT, inclusive of failure to appear on the arranged place and time for departure.
b. Actions of a third party, which is not connected with the execution of the contract, which cannot be foreseen or avoided.
c.Acts of God or event which cannot be foreseen or avoided by the CONTRACTOR upon conscientious fulfillment of its obligations.
4. The liability of the CONTRACTOR cannot in any case of incorrect or incomplete failure to perform the service, exceed the price of the rent.
5. THE CONTRACTOR shall not be liable for loss of personal belongings and valuables from the luggage of the CLIENT during the period of the rental.
6. In the event the CLIENT gives up a service, under the condition that the service had been confirmed and paid in advance, the CLIENT shall be obliged to
pay to the CONTRACTOR forfeit as follows:





The remaining part of the price of the service which is paid in advance shall be refunded to the CLIENT after deduction of the forefeit, as specified above, within 7 (seven days’) period to the BGN account in Bulgaria, specified by the CLIENT or in cash.
7. THE CLIENT bears full personal and unlimited material liability for damages caused to the CONTRACTOR, as well as for damages caused to third parties and their belongings  as  a  result  of  the use of the  hired  car or  by  the rental  relationship  itself, provided  they  are  the result of deliberate behaviour  or grave negligence. THE CLIENT bears full personal and unlimited material liability in case that with its behaviour (act or failure to act) it has become the reason for
benefits foregone on behalf of the CONTRACTOR.

Х.    Disputes and reclamations
1. In the event that the CLIENT has objections related to inaccurate performance of the service or other complaints related to the quality of service, and such claims cannot be satisfied at the place of provision of the service, the CLIENT shall have the right to file duly drawn up reclamation to the CONTRACTOR.
2.  THE  CLIENT  has  the  right  to  present  the  reclamation  as  per  item  1  within  three-days’  period  after  the  final  date  of  the  rental  to  the  office  of  the CONTRACTOR. In the event that  within three-days’ period after the final date of the rental no reclamation has been filed, the parties assume that there are no objections regaring the quality and deadlines of performance.
3. THE CONTRACTOR is obliged to give to the CLIENT a written statement as regards the reclamation within 30 days after its receipt.
4. The disputes arisen between the parties regarding question which are settled in these GENERAL CONDITIONS shall be settled by means of negotiations and when this is not possible, according to the procedure stipulated in the legislation of Bulgaria in force.

ХІ.    Additional conditions
1.The correspondence between the parties shall be effectuated by means of telephone, fax or e-mail. The parties shall consider that the form in writing has been observed provided the communicatiion is received by e-mail.
2. THE CONTRACTOR is obliged not to disclose to third parties whatever information about the CLIENT, which the former has acquired during or in relation to the execution of the contract, unless this refers to criminal activity investigated according to the due procedure.
3. These general conditions can be changed unilaterally by the CONTRACTOR, at the latest 30 days before the changes come into effect. The CONTRACTOR shall inform in writing the CLIENT regarding the changes and publishes the new general conditions on its website www.sc-rent.com.
